Governance Review update
Over the past year, a fundamental review of AUA’s governance has taken place involving a sustained period of deliberation and consultation with members and committees.
At a well-attended AGM on 31 March 2008, members voted to APPROVE the Governance Review proposals.
The new developments include:
- a smaller Board of trustees, led by the Chair of the Association, and supported by a small number of focussed working groups
- the abolition of existing standing committees
- the introduction of a Council, comprising representation from across the membership and key external stakeholders, to inform the Board’s strategic decisions
- the appointment of a President to lead the Council and represent AUA at the highest level
A new Constitution and Bye-laws implemented from 1 May 2008:
Constitution
Bye-law A: Membership
Bye-Law B: Conduct of General Meetings
Bye-Law C: The Council
Bye-Law D: The President
Bye-Law E: Branches
Bye-Law F: Regional Organization
Bye-Law G: Special Interest Groups

The Association’s affairs are governed by its members meeting and passing resolutions at general meetings. In between general meetings, the Board of Trustees is responsible for conducting the Association’s business.
As a charity registered in England and Wales and in Scotland, the Association is regulated by the Charity Commission and the Office of the Scottish Charity Regulator.
Each year, the trustees publish an annual report which includes an evaluation of the Association’s performance over the previous twelve months and the audited financial statements.
